Supplier Services Agreement

This Supplier Services Agreement is made between Halcyon Facilities Group LLC ("Supplier") and Customer, effective 1 August 2026.

3. Insurance

Supplier shall maintain commercial general liability insurance with limits of not less than five hundred thousand dollars (USD 500,000) per occurrence and shall name Customer as an additional insured.

5. Payment Terms

Customer shall pay undisputed invoices Net thirty (30) days from receipt of a correctly rendered invoice.

9. Limitation of Liability

Neither party's aggregate liability shall exceed the fees paid in the twelve (12) months preceding the claim. This limitation does not apply to breach of confidentiality, indemnification obligations, or wilful misconduct.

11. Termination

Customer may terminate this Agreement for convenience upon sixty (60) days' written notice without payment of any termination charge.
